Senior Associate Counsel
Job description
Senior Associate Counsel is a crucial part of the Legal Department, report directly to the Head of Legal in working with both legal teams; Projects and International Affairs & Corporate and Operation. Act independently on behalf of the Head of Legal and lead a team of lawyers as the occasion arises.
Have ability to counselling the Company on its legal rights and obligations in respect of Vietnamese laws, and have a good understanding of international contracts under non Vietnamese law. Being capable to manage and understand matters such as Financing, EPC contract, Arbitration, Offtake, COSA and International Procurement with a material impact on NSRP>
*** Responsibility
Responsibilities of the Associate Legal Counsel will be to assist the Heal of Legal in the following tasks:
- Assist and replace the Head of Legal in working with both team Projects and International Affairs & Corporate and Operation team.
- Advise the Company concerning Financing, EPC contract, Arbitration, Offtake Agreements, COSA and International Procurement with a material impact on NSRP among others
- Advise the Company concerning Vietnamese laws and legal requirements required for or in relation to the business and operations, as well as the Company’s legal rights and obligations with regard to any other legal or regulatory requirement.
- Advise the Company in high value business and commercial transactions, procurement contracts, and other contracts and agreements in normal course of the business; and ensuring and managing the compliance thereof;
- Advise and provide support in dealing and working with Government and relevant State bodies/ agencies/ authorities to the extent of his/her responsibilities and accountabilities;
- Coordinating the different external legal advisors engaged to support financing, disputes and construction
- Managing and supervising the performance of relevant team members as assigned;
- Perform other tasks assigned by the Head of Legal from time to time
Job requirements
*** Educational Level : Master in Law or above.
*** Work Experience :
- Minimum 10 years of experiences in private practice or as in-house counsel
- Having experience working as a lawyer in an international law-firm(s) or in-house counsel for a multinational company(ies) is an advantage.
- Previous experiences in oil and gas industry, especially downstream, or petrochemicals is advantage;
- Experiences working with Government and other State bodies/agencies/ authorities
- Deep understanding of Vietnam legal systems, laws and regulations as well as the legal trends, especially in oil and gas, petrochemicals, energy and/or construction;
- Previous experiences in Arbitration, Project management, project financing, EPC contracts is advantage.
*** Specialty/Qualification :
- University graduated, Master in Law
- Qualified in Vietnam
- Postgraduate degree is an advantage
*** Skills :
- Detailed oriented, excellent communication and problem solving skills
- Able to work both independently as a team member in a high pressure environment. Assist and or replace the Head of Legal in various projects and negotiations.
- Good communication and presentation skills. Able to deliver the message to various target audiences, including senior management and Board of Directors.
- Strong ability to evaluate and weigh all legal, commercial or political aspects and/or situations, and being able to provide sound and out of the box solutions, with the ultimate aim of protecting the legal rights of the Organization
- Strong negotiation and organization skills
- Ability to adapt in an international environment with cultural differences
- Fluent in English, both in writing and communicating
