Legal Manager / Legal Counsel_Good English communication

Key Responsibilities:

• Strategic Legal Support: Provide legal support to the Legal Director and Board of Directors in major strategic initiatives, including M&A transactions, capital raises, and corporate legal matter.

• Corporate Governance & Compliance: Oversee corporate governance and board-related matters, offering regulatory and compliance guidance in areas such as investment, securities, intellectual property, commercial transactions.

• Contractual Drafting & Review: Advise on and draft a wide range of contracts related to company initiatives and operations, including franchising agreements, distribution contracts, and corporate matters.

• Legal Advisory: Offer legal counsel on a wide array of corporate issues and ensure compliance with applicable laws and regulations.

Education:

• Bachelor of Laws (LL.B.), admission to a bar association, and obtaining a practicing certificate.

Experience:

• A minimum of 8 years of legal practice, with at least 5 years working at big & reputable law firms.

• Significant experience in M&A, capital raises, securities, and general corporate matters.

Skills & Competencies:

• Strong project management skills, including the ability to manage multiple activities and prioritize them effectively.

• Proven ability to draft and negotiate complex contracts.

• Strong ability to handle conflict and difficult issues professionally, assertively, and proactively.

• Excellent verbal and written communication skills, with a high degree of analytical ability.

• Ability to develop and foster relationships with business units (BU) and other departments.

• Capable of working independently, while maintaining a collaborative team approach.

Languages:

• Professional proficiency in both Vietnamese and English (advanced/fluent in both verbal and written communication).
